Terms of Service

These Terms of Service last updated as of september 6, 2023.

sharecode.in, all content, and all sharecode goods and services accessible at or through these websites (collectively, "Services") are all subject to these Terms, which control your access to and use of them. These Terms also apply to any websites managed by our users that use our Services, such as code hosted on sharecode, and permit visitors to access and use those websites. Your use of our services is contingent upon your agreement to all of the terms and conditions set forth in this agreement as well as any additional operating guidelines, privacy policies, and procedural rules that sharecode may from time to time publish (collectively, the "Agreement"). The Agreement will be applicable to such upgrades, and you agree that we may automatically upgrade our Services. Before using or accessing our Services, please take the time to thoroughly read the Agreement. You consent to being bound by the Agreement by accessing or using any portion of our Services. You are not permitted to access or use our Services if you do not agree to all of the conditions of the Agreement.

1. Who's Who

"You" refers to both natural persons and legal entities who use or use our Services via these Terms. If you are a person using our Services on behalf of an entity, you represent and warrant that you are authorized to bind that entity to the terms of the Agreement and that, by using our Service(s), that entity is allowing you to accept the terms of the Agreement on its behalf.

2. Your Account

When creating an account to use one of our Services, you promise to do so truthfully and completely. You also promise to keep your account information up to date. This is crucial because occasionally we might need to notify you of significant improvements (like revisions to our Terms of Service or Privacy Policy) or we might want to let you know about potential legal issues so you can decide how to proceed in light of them. Any action that takes place under your account is totally your responsibility and is subject to your liability. You are in charge of keeping your account information current and your password safe. You are totally accountable for any activities that take place under your account, as well as any other decisions made in relation to our Services, and you are responsible for keeping your account and any website, store, or other material connected to our Services secure. Your access credentials must not be distributed or used improperly. Any unauthorized access to your account, shop, website, or any other security lapses must be reported right away to us. Any actions or inactions on your part, as well as any damages of any type resulting from such actions or inactions, are not our responsibility. You can choose not to receive the marketing communication, whether it be an email, phone call, or text message, if you don't want to learn more.

3. Minimum Age Requirements

Children are not targeted by our services. Only individuals who are at least 13 years old (or 16 in the European Union) may access and utilize our services. You cannot register for or use our Services if you are under this age. Anyone who registers as a user or submits personal information to our Services does so on the condition that they are at least 13 years old (or, in the European Union, at least 16 years old).

4. Responsibility of Visitors and Users

We have not examined and are unable to evaluate all of the content (including but not limited to code, text, video, and audio) that users or anyone else has uploaded to our services (collectively, "Content"), and we are not liable for its use or results. For instance:

  • We do not represent that any Content is accurate, helpful, or non-harmful, nor do we promote any Content. Technical inaccuracies, typographical errors, and other errors may be present in the content. It may also violate or infringe upon third parties' privacy, publicity, intellectual property, and other proprietary rights (for more information on how to report copyright violations, see our copyright infringement and DMCA policy section).
  • You are fully liable for the Content and any harm that results from it or your actions if you upload Content or otherwise make it (or permit any third party to make it) available on our Services.
  • Any harm caused by anybody using, purchasing, or downloading Content is not our responsibility. You are in charge of taking the appropriate safety steps to shield your computer systems and yourself from viruses, worms, Trojan horses, and other dangerous or destructive content if you access or use any Content.
  • We are not a party to any discussions, transactions, interactions, or disputes between you and the source of any Content, and we will not be liable or responsible for any of them.
  • Please be aware that using, buying, or downloading content may be subject to extra third party terms and conditions.
  • 5. Fees, Payment, and Renewal

    a. Sharecode Fees

    Payment for Services. We charge a price for certain of our services, such the sharecode Pro plan. You consent to paying the stated fees and costs connected with certain features by using a Paid Service. There could be one-time costs or ongoing fees depending on the Paid Service. We'll bill or charge you for recurring fees on a pre-pay basis at regular, automatically-renewing intervals (such as monthly, yearly, or biennially) unless you cancel, which you can do at any time by sending an email to hello@sharecode.io Taxes.

    Unless otherwise specified, all costs are exclusive of any applicable federal, provincial, state, local, or other governmental sales, goods-and-services, harmonized, or other taxes, fees, or levies that are now in effect or that may be adopted in the future (collectively, "Taxes"). All applicable Taxes pertaining to your use of our Services, your payments, or your purchases must be paid by you. You are liable for all applicable taxes, and we reserve the right to seek payment from you if we are required to pay or collect taxes on the fees you have paid or will pay.

    Payment. We reserve the right to immediately terminate or revoke your access to the Paid Services if your payment is unsuccessful or if other Paid Services are not paid for or paid for on time. We reserve the right to terminate your access to our Services in general if you contact your bank or credit card provider to request a reject or reverse of charges for Paid Services.

    Renewal on demand. Recurring Paid Services are automatically renewed to guarantee on-going service. This means that unless you stop using a Paid Service prior to the expiration of the applicable subscription period, it will renew automatically. You hereby allow us to invoice you or to use any payment method we have on file for you to collect the then-applicable subscription cost (together with any Taxes). Your Paid Services will automatically renew for the same duration as your first subscription period. The automatic renewal date, which is dependent on the initial purchase date and cannot be adjusted, is chosen at random.

    Automatic Renewal cancellation. On the website for each service, you may manage and terminate your Paid Services. Contact hello@sharecode.io to terminate a sharecode plan.

    Changes in fees. We have the right to modify our prices at any moment or to begin charging for previously free services. When appropriate, we could inform you in advance if the cost is changing. You must terminate your Paid Service if you object to the fee modifications. Refunds. Although you can stop using a Paid Service whenever you choose, refunds are only given at our discretion, unless specified differently by relevant legislation.

    6. General Representation and Warranty

    You represent and warrant that your use of our Services:

  • should strictly adhere to these Terms;
  • will abide by all applicable laws and rules, including without limitation those governing online behavior and appropriate content, privacy, data protection, the transmission of technical data exported from the United States or your country of residence, the use of financial services, notification and consumer protection, unfair competition, and false advertising;
  • will not post any illegal content or otherwise use the services to further illegal activity;
  • will not misappropriate or violate the intellectual property rights of anybody else;
  • won't be too demanding on sharecods's systems, as we judge in our sole discretion;
  • won't divulge others' sensitive personal information;
  • Will not be used to create, distribute, or enable material that is - or that facilitates or operates in conjunction with - malware, spyware, adware, or other malicious programs or code.
  • Will not be used to interfere with, disrupt, or attack any service or network.
  • 7. Specific Service Terms

    a. sharecode Websites and Accounts

    We encourage you to make use of the shared code editor feature of sharecode. Additionally, you may sign onto several of our Services using a sharecode account. We provide subscription options for extra features in addition to our free basic service on sharecode. Our service is created to empower you with as much ownership and control over what appears in your code editor as possible and to support your unrestricted expression. Everything you add to your editor is your own. Be careful, though, about what you publish. Make certain that none of the forbidden materials (such as spam, malware, or severe threats of violence) appear on your editor in particular.We will make a good faith attempt to erase any content you delete from public display on sharecode, but you understand that references to the content or caching may persist.

    8. Copyright Infringement and DMCA Policy

    We respect the intellectual property rights of others just as we expect people to respect ours. Please email us at hello@sharecode.io if you feel that any content on or connected to a sharecode product or service violates your copyright. When necessary or appropriate, we shall react to any such notices by either deleting the infringing material or taking down all links to it. In the event that a visitor is found to have repeatedly violated the copyrights or other intellectual property rights of sharecode or others, we reserve the right to terminate that visitor's access to and usage of the website. In the event of such termination, we shall not be required to return any monies previously paid to us.

    9. Intellectual Property

    All intellectual property owned by sharecode or by third parties remains solely sharecode's property (as between the parties) and is not transferred to you as part of the Agreement. All other trademarks, service marks, images, and logos used in connection with sharecode or our Services, including the sharecode logo, are the property of sharecode or sharecode's licensors and are either trademarks or registered trademarks of their respective owners. There may be trademarks of other third parties behind other trademarks, service marks, images, and logos used in conjunction with our Services. You do not have any rights or licenses to use any sharecode or third-party trademarks in any way through your use of our Services.

    10. Third Party Services

    You may enable or utilize third-party services (also known as "Third Party Services") on your website while using the Services, including any services, goods, software (such as themes or plugins), embeds, or applications that you have created. By using any Third Party Services, you agree to the following:

  • sharecode has not reviewed, approved, or controlled Third Party Services.
  • You use any Third Party Services at your own risk; we are not accountable to you or anyone else for Third Party Services.
  • The terms and policies of the specific third party (the "Third Party") shall apply to your use and are the only agreements between you and the Third Party. Before utilizing a Third Party Service, it is your duty to examine the Third Party's terms and rules.
  • Some Third Party Services could ask for or demand access to your data (or the data of your visitors or clients), for instance, through a pixel or cookie. Your data will be treated in line with the Third Party's privacy policies and procedures if you use the Third Party Service or provide access. We are not in charge of how a Third Party Service could utilize your information. Before activating Third Party Services, you should carefully research their data collecting, retention, and usage policies and practices.
  • It's possible that Third Party Services won't function properly with your website, and we might not be able to offer help for any problems brought on by any Third Party Services.
  • Please get in touch with the Third Party directly if you need assistance or if you have any questions or issues regarding how a Third Party Service works.
  • We have the right to suspend, disable, or delete Third Party Services from your account or website in exceptional circumstances.
  • 11. Changes

    As a result of our ongoing service updates, we occasionally need to modify the conditions under which our services are provided. Only a formal change to these Terms, signed by a representative of sharecode or sharecode publication of an updated version, may be made. Prior to the modifications taking effect, we will notify you if we make any significant changes by publishing on one of our blogs, sending you an email, or sending you another message. The notification will specify a reasonable timeframe following which the revised terms will go into effect. You must discontinue using our Services during the specified notice time or as soon as the changes take effect if you don't agree with our modifications.The revised terms will apply if you continue to use our services. The Terms (including the binding individual arbitration clause) that were in effect at the time the disagreement originated, however, shall apply to any dispute that existed prior to the revisions.

    12. Termination

    Your access to all or any portion of our services may be terminated at any time, with or without cause, with or without prior notice, and with immediate effect. We have the right (but not the obligation) to, in our sole discretion, (i) reclaim your username or website's URL due to extended inactivity, (ii) refuse or remove any content that, in our reasonable opinion, violates any sharecode policy or is in any way harmful or objectionable, (iii) request that you make some changes, limit the resources that your website uses, or terminate your Services, if we think that your website's storage or bandwidth usage is out of control, and/or (iv) refuse any person or organization access to and use of any of our services for any reason. We shall not be required to return any money previously paid. Simply stop using our Services, or if you are using a paid service, cancel at any time, subject to the Fees, Payment, and Renewal section in these Terms, if you choose to terminate the Agreement or your sharecode account. All clauses in the agreement that, by their very nature, ought to endure termination do so, including ownership clauses, warranty exclusions, indemnification clauses, and liability restrictions.

    13. Disclaimer of Warranties

    We offer our services "as is." sharecode and its suppliers and licensors expressly disclaim any and all implied warranties, including, without limitation, the implied warranties of merchantability, fitness for a specific purpose, and non-infringement. No promise is made that our Services will be error-free or that access thereto will be continuous or uninterrupted by sharecode, its suppliers, or its licensors. Here's a treat for you, if you're actually reading this. You are aware that using our Services to download files or to get other material or services is at your own risk and discretion.
